Court Awards Langano Bekele Molla Hotel to CBE



The Court of Cassations ruled on March 5, 2010, to give the Langano Bekele Molla Hotel to the Commercial Bank of Ethiopia (CBE), ending a long litigation process between the bank and National Trading Corporation which delayed the hotel’s foreclosure since 2001.

The hotel, located 250km from Addis Abeba, was used as collateral when National Trading Corporation secured a loan from the CBE to pay the advance it needed in its acquisition of Tana Market Centre from the Privatisation and Public Enterprises Supervising Agency (PPESA) in 1995.

“We are very happy,” said Endakemew Getnet, the CBE’s foreclosure and loan team leader. “The court has examined the case well and ruled in our favour.”

PPESA had put Tana Market Centre out to tender in August 1995, for which National Trading Corporation successfully bid with an offer of 68 million Br. The corporation was, however, short of cash when it came to paying the required advance of 27 million Br within 10 days for the Tana Market Centre handover.

The CBE asked for collateral worth 30 million Br that was not attached to any other loan. National Trading Corporation offered the Langano Hotel and signed with the bank a loan agreement for 27 million Br in September 1995.

National Trading Corporation borrowed an extra 67.3 million Br from the CBE in October 1995 using Tana Market Centre as collateral. This money was 80pc of the 84 million Br the corporation said it needed for the renovation and other expenses of the building. It also passed on the plans for Tana Market Centre building to the bank as part of the loan agreement.

The confusion that made up a big part of the debate in the courts was that National Trading Corporation claimed that the Langano Hotel was held as collateral only until it was able to take over Tana Market Centre, which it claimed had become sole collateral for its loan agreements with the CBE. The bank defended its claim, arguing that both properties remained as collateral for the loans it extended to National Trading Corporation.

Things, however, were not as rosy as National Trading Corporation hoped. The renovation required more money than it had calculated. Then there was a bomb attack on the building in April 1997. In addition to these misfortunes, fewer and fewer customers visited the site, according to the corporation.

On November 11, 1997, it asked the bank to exchange some of the debt for equity and to also extend more loans for working capital. The bank rejected those requests. The CBE’s board decided in April 2001 to foreclose on the collateral. National Trading Corporation went as far as appealing to the Prime Minister’s Office to rescue Bekele Molla Hotels from the impending foreclosure onslaught but to no effect.

Asrat Bekele, shareholder and son of the founder of Bekele Molla Hotels, declined to confirm whether the bank had given the corporation a letter confirming that the collateral for the loan had been transferred from the Langano Hotel to Tana Market Centre.

No such document had been released by the bank, the CBE’s Endakemew said.


Tana Market Centre was sold to Dashen Bank in October 2001 for 53.4 million Br. But the case of the Langano Bekele Molla Hotel was tied up in a prolonged court dispute.

The ruling in favour of the CBE came the same week the bank sold the Shashemene Bekele Molla Hotel, as part of its bid to retrieve the money it lent to the corporation involving another loan for Helena Health Care Production Plc, another corporation under National Trading Corporation.

The bank foreclosed this property along with a residential house around Meskel Square in Addis Abeba, which rests on 2,944sqm of land. This house will be auctioned on April 20, 2010, at an opening price of 9.7 million Br. The bank’s attempt to sell it two weeks ago failed because no offer was made for it.

The hotel sold for 7.7 million Br to investor Bati Wutiye. The hotel will be handed over to him in 15 days after the payment has been made, according to Endakemew.

“The foreclosures will continue until we have collected all the money the corporation owes us,” Endakemew said.

National will continue working to get the court ruling reversed and to take the hotel back into the family’s ownership, according to Asrat.

The 11 Bekele Molla Hotels, under National Trading Corporation, have been a family business for the past 50 years.

Bekele Molla Hotels HAS NOT given the Langano Hotel as collateral, on behalf of National Trading Corp. to the CBE and this fact has also been admitted by Commercial Bank of Ethiopia in court, Both Regional & Federal Court.

We believe the time will come when the whole hidden truth about the trials & tribulations Bekele Molla Hotels (plc) & its affiliate companies suffered at the hand of CBE to the Ethiopian peoples

This is to clarify some of the comment that was erroneously if not maliciously attributed to Bekele Molla Hotels (plc) & its affiliate companies. We find the above article at best preposterous, if no imbecile.

• BEKELE MOLLA HOTELS (PVT. LTD. CO.) Established in 1942 Is a company that owns and operate 16 premises in Ethiopia, and has been in business for over half a century. It is a highly experienced company that operate its business with its own hard earned money, and that is well endowed with nature’s prime assets.

• Helena Healthcare Products (PVT. LTD. CO.) Was established in 1985 (twenty five years ago) with the objectives of manufacturing toilet and laundry soaps of various brands and related personal care and household products for the local market.

• ETHIOPIAN INDUSTRIES (PVT. LTD. CO.)Established in 1989 is a company currently engaged in the manufacturing of ballpoint pens and other plastic articles.

National Trading Company (PVT. LTD. CO.) Established in 1994 Is a standalone company that doesn’t own any of the Bekele Molla Hotels, Helena Health Care Products nor Ethiopian Industries.

• It is true that Bekele Molla Hotels plc has pledged its Shashemene Annex and One residential unit as collateral in late 1990 for a working capital obtained by Helena Health Care plc from the CBE (NOT FOR THE PURCHASE OF TANA AS INSTITUTED BY THE ARTICLE).

• The Article also instituted as if Shashemene-Bekele Molla Hotels is sold…. The Shashemene Bekele Molla Hotels, with its bar, restaurant and rooms is still operational and is not sold. Its only the Annex that was auctioned and sold by the CBE for half its value after it slashed the floor price by half.

• Bekele Molla Hotel in Langano, has not been attached or mortgaged as collateral to acquire Tana Department Store from Ethiopian Privatization Agency in 1996. This fact has also been admitted by Commercial Bank of Ethiopia in court, Both Regional & Federal Court.

የኢትዮጵያ ንግድ ባንክ የላንጋኖ በቀለ ሞላ ሆቴልን ማሸጉን ተከትሎ፣ የባንኩ የብድር ማገገሚያ ኃላፊ የሆኑት አቶ ክፍለፅዮን ማሞ፣ ለሪፖርተር ጋዜጣ የሰጡትን መግለጫ በተመለከተ፣ በርካታ የድርጅቱ ደንበኞች፣ የድርጅቱ ሠራተኞችና ተቆርቋሪ ግለሰቦች ጭምር፣ የድርጅቱን ማብራሪያ ጠይቀዋል፡፡
ድርጅቱም በዚህ ሁኔታና በተለይም ሟች አያስተባብልም በሚል አስተሳሰብ የተነሳውን የአቶ በቀለ ሞላን ስምና የጉዳዩን አመጣጥ በግልጽ ማቅረቡን አስፈላጊ ሆኖ ስላገኘው፣ ይህን አጭር ጽሑፍ የኦሮምኛውን ምሣሌ "Haqqisa Garadha Dhufee Ilikaan Hindeebisu"፣ በአማርኛ አቻ ትርጉሙ፣ "ከሆድ የመጣን ማስመለስ ጥርስ አይመልሰውም" በሚል ርዕስ ያቀርባል፡፡

የኢትዮጵያ ንግድ ባንክ የላንጋኖ በቀለ ሞላ ሆቴልን ግንቦት 25 ቀን 2002 ዓ.ም. በኃይል በመቆጣጠር ሀብትና ንብረቱን ያሸገው፣ ለጣና ገበያ አዳራሽ መግዣ መስከረም 29 ቀን 1988 ለተሰጠው ብድር በዋስትና በመያዙ መሆኑን፣ ውሉንም አቶ በቀለ ሞላ ራሳቸው በፊርማቸው በማረጋገጣቸው መሆኑን ገልጿል፡፡

የኢትዮጵያ ንግድ ባንክ የበቀለ ሞላ ሆቴሎችን አሁን በዋስትና ዕዳ የሚጠይቀው ባንኩ ለጣና ገበያ አዳራሽ ሕንፃ መግዣ በ1988 ዓ.ም. ብር 67 ሚሊዮን ያበደረበትን፣ በጊዜው ከብር 40 ሚሊዮን በላይ የሊዝ ዋጋ የነበረውን 7000 ካሬ ሜትር ቦታና ባለ አራት ፎቅ ሕንፃ ከተገመተበት ብር 117 ሚሊዮንና ካበደረበት ገንዘብ በታች በብር 43 ሚሊዮን በመሸጡ፣ በዚህ አግባብ ባልነበረው አሻሻጥም ባንኩ የተፈጠረበትን ኪሣራ ለመሸፈንና ንብረቱ ከተሸጠም በኋላ ሊቆም የሚገባውን ወለድ ለ10 ዓመታት አለአግባብ እስከማሰብ ሄደ፡፡ ይህን ሁሉ ያደረገበት በሽያጩ ሒደት የተፈጠረውን ስህተት ለመሸፈን መሆኑን ለፍርድ ቤት ባቀረባቸው የክስ ማመልከቻዎች መረዳት ይቻላል፡፡

የብሔራዊ ንግድ ድርጅት፣ የጣና ገበያ አዳራሽን ለመግዛት፣ ከኢትዮጵያ ንግድ ባንክ ለመበደር ለጠየቀው ብድር ያቀረበው ዋስትና፣ ራሱን የሚገዛውን የጣና ገበያን አዳራሽ ሕንፃ ብቻ ነበር፡፡ ይኸም በብድሩ ማመልከቻም ሆነ ለብድሩ በተፈረመው ውል ላይ በግልጽ ሰፍሯል፡፡ በዚህ የብድር ሰነድ ላይም በዋስትና ከተመለከተው የጣና ገበያ አዳራሽ ሕንፃ በስተቀር፣ የላንጋኖ በቀለ ሞላ ሆቴል በዋስትና የተመለከተበት አንዳችም ሥፍራ አለመኖሩም ይታያል፡፡ በዚህ ረገድ ከባንኩ የተሰጠው መግለጫ ትክክለኛ አልነበረም፡፡

አቶ በቀለ ሞላ በፊርማቸው አረጋግጠውታል የተባለው የመያዣ ውል የተፈረመው በመጋቢት ወር 1990 ዓ.ም. ሲሆን፣ ይህም የጣና ገበያ አዳራሽ ከመንግሥት ከተገዛ ከሁለት ዓመት ተኩል በኋላ ነበር፡፡ የመያዣ ውሉ የተፈረመበትም ዓላማ፣ የገበያ አዳራሹ በመንግሥት ይዞታ ሥር በነበረበት ወቅት፣ የነበረው የሥራ ማስኬጃ ብድር በመሰረዙ ምክንያት፣ የገበያ አዳራሹ ሥራ ትርፋማ ሆኖ ብድሩ የሚከፍልበትን ሁኔታ ለመፍጠር፣ የኢትዮጵያ ንግድ ባንክ ለመስጠት ተስማምቶ ለነበረው የብር 30 ሚሊዮን የኦቨር ድራፍት ብድር ዋስትና ነበር፡፡

በዚህም መነሻ የኢትዮጵያ ንግድ ባንክ፣ የላንጋኖ በቀለ ሞላ ሆቴል በዋስትና ተመዝግቦ እንዲቀርብለት የካቲት 3 ቀን 1990 ለብሔራዊ ንግድ ድርጅት ያቀረበውን ጥያቄ ተከትሎ፣ የባንኩ ሥራ አመራር በፕራይቬታይዜሽን ታሪክ የመጀመሪያ ሆኖ ወደ ግል ይዞታ የተዛወረ በመሆኑ፣ ድጋፍ እንዲያገኝ መመሪያ እንደተሰጠበት መጋቢት 7 ቀን 1990 በባንኩ ፕሬዚዳንት ጽ/ቤት በተጠራው ስብሰባ ተገለፀ፡፡ ስለዚህ የመያዣ ውሉ በአስቸኳይ ተፈርሞ እንዲቀርብ፣ ከአጣዳፊነቱም የተነሳ የአበዳሪው ቅርንጫፍ ሥራ አስኪያጅ፣ አቶ በቀለ ሞላን በሁለት ቀናት ውስጥ የሚገኙበት ቦታ ድረስ በመሔድ ውሉን እንዲያስፈርም ትዕዛዝ ተሰጠ፡፡

በዚህ መሠረት፣ በወቅቱ የባንኩ ጠመንጃ ያዥ ቅርንጫፍ ሥራ አስኪያጅ የነበሩት፣ በመጋቢት ወር 1990 ላንጋኖ ሆቴል ድረስ ሔደው፣ አቶ በቀለ ሞላን በሰነዱ ላይ እንዲፈርሙ ማድረጋቸውን በሕይወት በነበሩበት ጊዜ አረጋግጠዋል፡፡

በዚህ ዓይነት አጣዳፊ ሁኔታ የመያዣ ውል የተፈረመለት የብሔራዊ ንግድ ድርጅት ሥራ ማስኬጃ ብድር ግን፣ አጣዳፊነቱ ቀርቶ በነገ ዛሬ እየተጓተተ ውሉ እያደረም ምክንያቶችን እየወለደ፣ እንደገና የበቀለ ሞላ ሆቴሎች በመስቀል አደባባይ ለማልማት ያቀደውንና በሊዝ ይዞታ ከብር 12 ሚሊዮን በላይ ሙሉ ክፍያ የፈፀመበትን ቦታ ጭምር በተጨማሪ በመያዣነት እንዲቀርብ መጠየቅ ተጀመረ፡፡ የብሔራዊ ንግድ ድርጅት፣ በእነዚህ ሁሉ እያመረቀዙ በሚነሱ ሁኔታዎች አጣብቂኝ ውስጥ በመግባቱና ብድሩም ሊያስከትል በሚችለው ነገር በመስጋት፣ የገበያ አዳራሹን ለፕራይቬታይዜሽን ኤጀንሲ መመለስና በልዩነት የሚታየውን ዕዳ በረጅም ጊዜ ለመክፈል ባንኩን ጠይቆ ነበር፡፡ በመጨረሻ ግን በየካቲት ወር 1993 ዓ.ም፣ ባንኩ የሥራ ማስኬጃ ብድር ጥያቄውን አለመቀበሉንና የገበያ አዳራሹንም በሐራጅ ለመሸጥ መወሰኑን ባንኩ ገለፀ፡፡

ከዚህ በኋላ የበቀለ ሞላ ሆቴሎች፣ አቶ በቀለ ሞላ ለብር 30 ሚሊዮን ሥራ ማስኬጃ ብድር የፈረሙትና ብድር ያልተሰጠበት የመያዣ ውል እንዲመለስለት ቅርንጫፍ ባንኩን ሲጠይቅ፣ ባንኩ ይህ አቶ በቀለ ሞላ የፈረሙት የመያዣ ውል፣ ለጣና ገበያ አዳራሽ መያዣ ለተሰጠ ብድርና መስከረም 25 ቀን 1988 ዓ.ም. የተፈረመ ነው፣ በማለት ሆቴሉን ከገበያ አዳራሹ ጋር በጣምራ ለመሸጥ ተነሳ፡፡ የበቀለ ሞላ ሆቴሎችም በዚህ ነገር ከፍተኛ ስጋት ላይ ወደቀ፡፡

የበቀለ ሞላ ሆቴሎች፣ ይህ የመያዣ ውል በእርግጥ የተፈረመው በመጋቢት 1990 ስለመሆኑ ያልተጠራጠረ ቢሆንም፣ የሰነዱ ኮፒ እንዲሰጠው ጠይቆ፣ ከባንኩ መጋቢት 5 ቀን 1993 ዓ.ም. ከተፃፈ ደብዳቤ ጋር በአባሪ ደርሶት፣ ሲመለከተው ውሉ በመስከረም 29 ቀን 1988 ዓ.ም. እንደተደረገና የተፈረመውም ለጣና ገበያ አዳራሽ መግዣ ለተሰጠ ብድር መሆኑን የሚገልጽ ሆነ፡፡ በዚህ ሰነድም ላይ ባንኩን በመወከል ፊርማቸው የተመለከተው የቅርንጫፉ ሥራ አስኪያጅ ላንጋኖ ሆቴል ድረስ በመሔድ አቶ በቀለ ሞላን በመጋቢት ወር 1990 ያስፈረሙት ሳይሆኑ፣ በመስከረም 29 ቀን 1988 የጠመንጃ ያዥ ቅርንጫፍ ሥራ አስኪያጅ የነበሩትና ውሉ በተፈረመበት በመጋቢት ወር 1990 ዓ.ም. የባንኩ የአየር ማረፊያ ቅርንጫፍ ሥራ አስኪያጅ የነበሩት መሆኑ ታወቀ፡፡ በዚህ ሰነድ ላይ በምስክርነት ከፈረሙትም መካከል፣ ሁለተኛዋ ምስክር፣ ውሉ ተደረገ፤ በሚባልበት በመስከረም 29 ቀን 1988 ዓ.ም. ጭራሹንም በባንኩ አለመቀጠራቸውን መደበቅ አልተቻለም፡፡ ከዚህም በተጨማሪ መስከረም 29 ቀን 1988 በአንድ ቀን ተደርገዋል በተባሉት የመያዣ ውልና የብድር ውል ላይም የታተሙት የባንኩ ማኅተሞች በቅርፅና መጠን የተለያዩ መሆናቸው፣ ከባንኩ የተለመደ አሠራር ውጪ መሆናቸውና አቶ በቀለ ሞላ መስከረም 29 ቀን 1988 ፈረሙበት በተባለው ሰነድ ላይ የታተመው ማኅተም በባንኩ እጅ የነበረው በ1990 ዓ.ም. መሆኑ ታወቀ፡፡

የበቀለ ሞላ ሆቴሎች፣ ወዲያውኑም ይህ ውል በሕግ ሥልጣን በተሰጠው አካል ተመዝግቦ ስለመቀመጠ፣ በኦሮሚያ ክልል፣ ለባንክ ብድር በዋስትና የሚሰጥ የማይንቀሳቀስ ንብረት መያዣን መዝግቦ ለመያዝ፣ በአዋጅ ሥልጣን የተሰጠውን የዞኑን ፍትሕ መምሪያ ጠየቆ፣ የመያዣ ውሉ ለጽ/ቤቱ አለመቅረቡንና በብድር ዋስትናም አለመመዝገቡንም በዚሁ በመጋቢት ወር 1993 ዓ.ም. አረጋገጠ፡፡ የበቀለ ሞላ ሆቴሎች በዚህ ዕውነታ ለተወሰነ ጊዜም ቢሆን መጠነኛ እፎይታን አገኘ፡፡ ይህም ሐቅ እስከ ፌዴራል ሰበር ሰሚ ችሎት ድረስ በታየው መዝገብ በማስረጃነት ቀረበ፡፡

የበቀለ ሞላ ሆቴሎች፣ ይህን ሁሉ በአዲስ ለተተካው የባንኩ አስተዳደር፣ በማቅረብ፣ አስተዳደሩ ለሥራ አመራር ቦርዱም ቢሆን አቅርቦ ውሳኔ እንዲሰጥበት እንዲያደርግ ቢወተውትም፣ ስህተትን ለመሸፈን በተኬደው መንገድ የተከተለውን ጣጣ በግልጽ አፍረጥርጦ መፍትሔ ከመሻት ይልቅ፣ ከኃላፊነት በመራቅ ሸፋፍኖ፤ አክርሞና ለመጪው አሳልፎ መሔድ ተመርጦ፣ አሁን በተኬደበት ጎዳና ተገፋበት፡፡

የኢትዮጵያ ንግድ ባንክ በዚህ የተሳሳተ መንገድ፣ ከሕግ አግባብ ውጪ ለበርካታ ጊዜያት ኃይል በማዘዝ ሆቴሉን በኃይል ለመቆጣጠር ብዙ ጥረት አድርጓል፡፡ የበቀለ ሞላ ሆቴሎች፣ ይህን ሁኔታ በሕግ ከመከላከል ውጪ፣ ሌላ መንገድ አልነበረውም፡፡ ጉዳዩን ለሕግ በማቅረብ፣ ድርጊቱ ከሕግ ውጪ ነው እየተባለና በሕግ እየተገታ ውሳኔ እያገኘ ቆየ፡፡

ይህ ሕጋዊ ሒደት እልህን አስከትሎ፣ ባንኩ በክልሉ በዳኝነትና በፍርድ ቤቶች ፕሬዚዳንትነት ያገለገሉና በሥራ አፈጻጸማቸውና በሥነ-ምግባር ችግር ከዳኝነት ሥራ የተወገዱ ግለሰቦችን በከፍተኛ ደመወዝና ጥቅም ጭምር በመቅጠር፣ ይህንን ጉዳይ እንዲያስፈፅሙ ከዲስትሪክት እስከ አመራር ባሉ ቦታዎች ላይ እንዲቀመጡ ተደርጎ የስህተቱ ጎዳና እየሰፋ እንዲሄድ ሆነ፡፡

በዚህም ስልት ሕግ እንዳይከበር፣ የፍርድ ሒደትም በሕግ እንዳይመራና ፍትሕም እንዲዛባ በብርቱ ተደከመበት፡፡ ቀደም ሲል በዳኝነት በተቀመጡበት ችሎት በነገረ ፈጅነት ተሟጋች ሆነው ቀረቡ፡፡ ይህም ሳይበቃ፣ በሠሩባቸው መ/ቤቶች ሠራተኞችና ኃላፊዎች ላይ ተፅዕኖ በሚያሳድር ሁኔታ "የመንግሥት ገንዘብ ለማስመለስ የሚደረግ ጥረት ነው" በማለት፣ በመስከረም 29 ቀን 1988 ዓ.ም. ተደረገ የሚለውን ውል (የ10 ዓመት የይርጋ ጊዜው ካለፈ በኋላ) በጥቅምት 18 ቀን 1988 ዓ.ም. የዞኑ ዐቃቤ ሕግ እንዲመዘግብ ከሕግና ደንብ ውጪ የሆነ አስተዳደራዊ ትዕዛዝ እንዲሰጥ ተደረገ፡፡ በዚህም የዐቃቤ ሕግ ጽ/ቤቱ እንዲከሰስ ሆነ፣ ባንኩም የክሱ ምክንያት እኔ ነኝ በሚል ባልተከሰሰበት ጣልቃ ገብቶ ተሟገተ፡፡ ይህም ሆኖ ፍርድ ቤቱ በሕግ የበላይነት መርሕ በዐቃቤ ሕግ ጽ/ቤቱ ላይ ውሳኔ ሰጠ፡፡ ይህንን ከሕግ ውጪ ነው የተባለውንም ፍርድ ለማስለወጥ ሳይቻል ቀርቶ፣ ፍርዱ በይግባኝ እስከታየበት እስከ ክልሉ ጠቅላይ ፍ/ቤት ድረስ ቀርቦ የጸና ሆነ፡፡

የኢትዮጵያ ንግድ ባንክ፣ ለአሁኑ ዕርምጃው ምክንያት ያደረገው በክልል ፍ/ቤቶች በአምስት የተለያዩ መዝገቦች በተመሳሳይ የተወሰኑትንና በፌዴራል ፍ/ቤትም በከፍተኛና በጠቅላይ ፍ/ቤት የተሰጡትን ውሳኔዎች፣ የፌዴራል ጠቅላይ ፍ/ቤት ሰበር ሰሚ ችሎት የለወጠው በመሆኑ ነው፡፡ ይህ የፌዴራል ጠቅላይ ፍ/ቤት የሰበር ሰሚ ችሎት ውሳኔ፣ በአገሪቱ የመጨረሻ የፍትሕ አካል የተሰጠ በመሆኑ፣ ተፈጻሚነቱ እንደተጠበቀ ሆኖ፣ ወደፊት ግን በሕግ ባለሙያዎችና በተመራማሪዎች እንደሚተች እምነታችን ነው፡፡

ይህም ቢሆን የሰበር ሰሚ ችሎት ውሳኔ፣ እንደ ፍርዱ በአግባቡ ከሚፈፀም በቀር፣ ባንኩ ፍርዱን ራሱ እንዲፈፅምና በፍርድ ያልታዘዘን ንብረትም በኃይል ጭምር ለመያዝ፣ ለማሸግና እንዲጠቀምበት የሚያስችለው ውሳኔ ግን አልነበረም፡፡ የኢትዮጵያ ንግድ ባንክ ይህ ፍርድ እንዲፈፀምለት በአንድ በኩል በብሔራዊ ንግድ ድርጅት ላይ ያፈፃፀም መዝገብ የከፈተ ሲሆን፣ በበቀለ ሞላ ሆቴሎች ላይ ግን ፍርዱን ራሴ እፈፅማለሁ በሚል፣ በሕግ አግባብ የሌለውን የከረረ አካሔድ የመረጠበት መንገድ ግን ፍፁም እንቆቅልሽ ነው፡፡ ይህ የኢትዮጵያ ንግድ ባንክ የኃይል ዕርምጃ፣ ..ካፈርኩ አይመልሰኝ.. እንደተባለው ካልሆነ በቀር፣ የፍርድ አፈጻጸምን፣ ሕግና ደንብን ባልተከተለ መንገድ የፈፀመው መሆኑ ይታያል፡፡

የበቀለ ሞላ ሆቴሎች ምን ጊዜም ለሕግ ተገዥ ነው፡፡ በሕግ አግባብ ለሚሰጠው ውሳኔ ቁጭት አይኖረውም፡፡ ለዚህም የኢትዮጵያ ንግድ ባንክ በብድር ዋስትና የሸጠው የሻሸመኔ ሆቴሉ በባንኩ ከተገመተበት ብር 14 ሚሊዮን ወርዶ፣ በብር 7.5 ሚሊዮን ተሸጦ ሲተላለፍና ከሕንፃው ውጪ የነበረውም ንብረቱ ከሕግ አግባብ ውጪ ለገዥው ሲተላለፍ፣ ባንኩ በአዋጅ 97/90 ሥልጣን ሽፋን የሚፈፅመው በመሆኑ፣ ሕግ ነው በሚል በደሉን መቀበሉ ይህንኑ ያረጋግጣል፡፡ የኢትዮጵያ ንግድ ባንክና የበቀለ ሞላ ሆቴሎች ባላቸው አንጋፋና ተቀራራቢ ዕድሜ በዕድገታቸው መልካም ግንኙነት አፍርተዋል፡፡ ለረጅም ዓመታትም አብረው ሠርተዋል፡፡ በነዚህም ወቅት በአንተ ትብስ እኔ ልብስ መተሳሰብ ባንኩ የራሱን ሕንፃ ገንብቶ እስከወጣበት ዕለት፣ በሞያሌ ሆቴሉ በአንድ ጣራና ግድግዳ አብረው ኖረዋል፡፡ የባንኩና የሆቴሉ ሠራተኞች ከአንድ ማዕድ በልተው ማኅበራዊ ሕይወትን ተጋርተዋል፡፡ አብረውም ቆስለዋል፣ አልቅሰውም ቀብረዋል፡፡ የበቀለ ሞላ ሆቴሎች ከኢትዮጵያ ንግድ ባንክ ጋር እንዲህ የቆየው ትስስር ላልቶ እንዲህ ዓይነት የከረረ ደረጃ ላይ የሚያደርስ መሠረታዊ ችግር አለ ብሎ አያምንም፡፡

የበቀለ ሞላ ሆቴሎች ባለፉት 10 ዓመታት እንዲህ ዓይነት ረጅም መከራና ፈተና የደረሰበት ቢሆንም፣ በታሪኩ ከተመዘገቡት ሁለት አሳዛኝ ወቅቶች ግን የባሱ ናቸው ብሎ አያምንም፡፡ ከእነዚህም አንደኛው፣ በ1977 በሞያሌ ከተማ ሆቴሉ ያሉ ሠራተኞቹ፣ በሶማሌ ሰርጎ ገብ ወታደሮች በግፍ የተገደሉበት ወቅት ሲሆን፣ ሌላው የድርጅቱን መሥራች በሕይወት ያጣበት ነበር፡፡ ድርጅቱ እነዚያን መራር ጊዜያት በፅናት አልፏቸዋል፡፡ ለዚህም ብርቱ መስዋዕትነትን ከፍሏል፤ የዕለት ከዕለት ሥራውን በድሏል፣ ደንበኞቹንም ባልተለመደ አገልግሎቱ ቅር አሰኝቷል፤ እንደ ተቋምም በኢኮኖሚ ውስጥ ሊያበረክተው የሚገባውንም ድርሻ አጓድሏል፡፡ ይህ ሁሉ ቢሆንም፣ የድርጅቱ መሥራች የአቶ በቀለ ሞላ ማኅበራዊ እሴትና ፍላጎት እንዳይጓደል ሁሉን ትቶና ቅድሚያ ሰጥቶ በላንጋኖ አካባቢ የምትገኘው የዶሌ ከተማ የመብራትና የውኃ አገልግሎት ተጠቃሚ እንድትሆን በማድረግ፣ በወረዳው የሚገኘውን የሁለተኛ ደረጃ ትምህርት ቤት ግንባታ በማገዝ የመማሪያ ክፍሎችን ቁሳቁሶችን አሟልቷል፡፡ በላንጋኖ አካባቢ ተወልደው፣ ድርጅቱ በገነባው የዶሌ 1ኛ ደረጃ ትምህርት ቤት ተምረውና የከፍተኛ ትምህርታቸውም በሙያና በቴክኒክ ልምድ እንዲታገዝና አነስተኛ ቢሆንም ለመማሪያ ዕቃዎች የሚሆናቸውን ገቢ እያገኙ የሚማሩ ከ100 በላይ የሚሆኑ ወጣቶችን አፍርቷል፡፡

በሞጆ ከተማ ለማሠራት ቃል የገባበትን የስዮ መሰናዶ ትምህርት ቤትም ሕንፃ ሥራ በ2001 ዓ.ም. በመጀመር ለመጪው የትምህርት ዘመን እንዲደርስ በብርቱ እየደከመ ይገኛል፡፡ የበቀለ ሞላ ሆቴሎች እነዚህን አገልግሎቶቹን የሚጠቅሰው በውለታ እንዲቆጠሩለት ወይም ሙገሳ እንዲያገኝ ሳይሆን፣ በእነዚህ አስቸጋሪና ፈታኝ ወቅቶችም እንኳ ማኅበራዊ ግዴታዬ ነው ብሎ የተወጣቸውን ሥራዎች ለማሰብ ብቻ ነው፡፡

የበቀለ ሞላ ሆቴሎች በደረሰበት ጉዳት ተስፋ ሳይቆርጥ በቀሪ ሀብቱና ንብረቱ ውጤታማ ሥራ በመሥራት ጥሩ ሚና መጫወት እንደሚቻል በፅኑ ያምናል፡፡ የመሥራቹን የአቶ በቀለ ሞላን ራዕይንም ይዞ በመልካም ስምና የሥራ አፈፃፀም በዘለቄታ ተቋምነት ይቀጥል ዘንድ፣ የድርጅቱ ባለቤቶች ሙሉ ዕምነትና ፍላጎት መሆኑን በዚህ አጋጣሚ ያረጋግጣል፡፡

COMMERCIAL BANK OF ETHIOPIA’S MISGUIDED MOVES...

Following the forcible closure of the Langano Bekele Molla Hotel, by the Commercial Bank of Ethiopia (CBE) and statements given by Ato Kifletsion Mamo, an officer of the Bank; hotel clients, workers of the hotel, individuals and other concerned parties have requested for our company’s clarification. To this end, our company, (Bekele Molla Hotels, BMH) will briefly state the important points of contentions between CBE and BMH.

On Ginbot 25, 2002 (All dates are in Ethiopian Calendar) the Commercial Bank of Ethiopia had forcibly closed the Langano Hotel, claiming: “The Langano Hotel was pledged as collateral for a Birr 67 million birr loan that was given to the National Trading Co. (NTC) for the purchase of the Tana Department Store,” (from the Ethiopian Privatization Agency.) CBE also claimed, that the collateral agreement was signed by Ato Bekele Molla himself, at the time of purchase.”

What CBE presently claims from NTC (Birr 90 million) came as result of underselling the Tana Department Store by CBE. The Tana Department Store, which is located at the heart of Mercato, has a 6000 square meters of vacant plot for development (out of the 7500square meters.) The Department Store itself is a four-storey building with a floor space of about 6500 square meters and was valued at Birr 117 million, at the time of its auctioning. However, CBE decided to auction the property at the floor price of Birr 43 million. This is where CBE incurred its major loss! To hide this mistake and to compensate for the loss, CBE continued to accrue interest on the balance, which is not in line with the foreclosure regulation and banking practice.

National Trading Co. (NTC) bought the Tana Department Store from the privatization agency, in Meskerem 29, 1988 and borrowed Birr 67 million from the Commercial Bank of Ethiopia. This loan was collateralized by the property bought. To this end, a loan and collateral agreement was signed on Meskerem 29,1988 between NTC and CBE.

This is clearly stipulated on the loan agreement and no other collateral was pledged on the agreement. Therefore, in this regard, the statement given by the bank’s officer was not true.

The collateral agreement, allegedly said to have been signed on Meskerem 29, 1988, was actually signed on Megabit 1990, for a Birr 30 million working capital loan for NTC; two and half years after Tana’s purchase. The working capital was to facilitate a sustainable operation of the Department Store and assure a sound repayment capacity.

Based on this, CBE initiated a pledge of the Langano Bekele Molla Hotel, for the forthcoming loan of Birr 30 million. In a meeting that was held at the Bank’s President office, on Megabit 7, 1990, CBE affirmed its support, which was in line with the government’s privatization policy. To expedite the loan request, the branch manager himself was instructed to have this document signed in two days. Following this, the ‘Temenja Yazh’ Bank branch manager himself went down to the Langano Bekele Molla Hotel in Megabit 1990, to have the collateral agreement signed by Ato Bekele Molla himself. This was testified by the bank manager, before he passed away.

Thereafter, CBE tried to employ all sorts of excuses to delay the agreed loan. Later on, CBE even requested additional pledges that included BMH’s leased land at Mesquel Square, with a paid up value of over Birr 12 million. With such frustrating developments, the NTC even contemplated to return the Tana Department Store to the privatization agency and accept the differential financial damages. Finally, CBE came out clearly and refused to give the working capital loan and decided to foreclose the property. This was communicated to NTC and BMH in Yekatit of 1993.

BMH then requested CBE to hand back the collateral agreement, which was signed by Ato Bekle Molla in Megabit 1990 for NTC’s working capital.
At this time, CBE replied by saying that the Langano collateral agreement was signed for the loan given to NTC (in Meskerem 29,1988) for the purchase of the Tana Department Store and put both properties (the Tana Department Store and Langano Bekele Molla Hotel) on a foreclosure list. This was a surprise and a shocking development to BMH!

Even though BMH knew for sure that the Langano Hotel pledge was not signed by Ato Bekele Molla in Meskerem 29, 1988, it nonetheless, requested CBE to give it a copy of the alleged document.

On Megabit 5, 1993, CBE gave BMH a copy of the said document along with an enclosed letter. Surprisingly, the document portended:
To have been signed on Meskerem 29, 1988, at the time of the Tana purchase!

The signatory on behalf of the Bank on the agreement form was not the serving bank manager who went to Langano to have Ato Bekele Molla sign the Langano collateral agreement, on Megabit 1990. Instead, it was signed by the previous manager of the same ‘Temenja Yazh’ bank, who had signed the initial loan agreement of Meskerem 29,1988. In Megabit, 1990, this person was serving at the bank’s airport branch and not at the ‘Temenja Yazh’ branch.

One of the witnesses, whose signature appeared on the document, was not even an employee of the Bank on Meskerem 29, 1988!

The Bank’s stamp put on the initial loan and collateral agreement, between CBE and NTC, differed both in size and shape, from the stamp put on the collateral agreement signed by Ato Bekele Molla for the working capital. It was later revealed that these two different stamps were never used at the same time!

The alleged collateral agreement was never registered by the legally empowered appropriate government agency—The Registrar. The official Registrar of mortgages of immovable properties, the Zonal Branch of the Justice Bureau of the Oromia Regional State, verified that it had not received nor registered any document pertaining to the pledging of the Langano Bekele Molla Hotel as collateral to any loan.

This was later certified by the above-mentioned office, in Megabit 1993. The above fact has been presented at Courts of Law, including the Court of Cassation.

Following the above development, BMH repeatedly tried to present its case to the ever changing CBE’s management and through it, to the board. However, instead of facing the facts and trying to find solution to the quagmire, CBE adamantly tried to defend its mistakes by creating more improper moves and indefensible errors.

CBE, outside of its legal jurisdiction had repeatedly tried to use force to take over the Bekele Molla Hotel at Langano. Trusting the laws of the land, BMH had at several occasions got court rulings to stop the various inappropriate moves. CBE reacted to these court rulings by systematically orchestrating even more mistaken moves and employing individuals who were let-go from the various Courts of Law, for their lack of integrity, capacity and discipline. CBE offered these individuals handsome payments and benefits along with positions, ranging from District to management level. Their mission was to pursue the cover-up strategy relentlessly and to forcibly takeover the Langano Bekele Molla Hotel.

This strategy has helped subvert the laws of the land. By leveraging their formal/informal connections, the spin-doctors substantially undermined the government’s policy of democratic good governance. Ranting the empty rhetoric; “we are here to recover government’s money,” they managed to actually open a lot of doors within the administration. On Tikimet 1998, the prosecutor of the Zone was instructed by higher echelon to register the so-called collateral agreement that was allegedly signed on Meskerem 29, 1988, even when it was obvious that the ten years statutes of limitation on it had already expired! When a court case was filed against the prosecutor, CBE again intervened, claiming that it is the cause of the case and appeared at court as an intervening party.

In five separate cases that were litigated in the various Regional Courts, BMH had secured favorable rulings in all of them. Likewise, The Federal High Court and the Federal Supreme Court also ruled against CBE. The Court of Cassation however, had reversed the rulings of the lower courts. As the Court of Cassation is the highest Court of the land, BMH respects its ruling. We believe the various Counsels of Justice and professional associations will ultimately reflect and deliberate on the substance of the matter in their own good time.

BMH feels the Court of Cassation’s ruling must be executed only in a legal manner. CBE opted not to go for a court execution order; instead it took the law in its own hands and forcibly took over other properties that were not mandated by the Court’s ruling. Such improper and forceful action, besides directly affecting many innocent lives, has a potential to inflict incalculable damage to the aspiration of many developmental entrepreneurs.

Relationship between BMH and CBE started several decades ago, when both were still in their formative years. During those pioneering days, they were comrades in arms and were both engaged in the spirit of development and ‘Nation Building.’ The CBE branch (office and residence) in Moyale was itself housed in the Bekele Molla Hotel compound, long before CBE built its own branch office. It is common knowledge that both organizations didn’t come with yesterday’s rain. Unfortunately, the strategy CBE decided to employ, besides being arrogantly simpleminded, was unbecoming of a seasoned public institution.

Besides its commercial activities, BMH has been involved in supporting communities in its operating localities. To cite few examples, it had assisted in the installation of electricity and drinking water supply to the small village of ‘Dole’ near Langano. It has contributed to the upgrading of the secondary school and supplied school furniture and other materials. The elementary school in ‘Dole’ was fully built by BMH. Throughout the years, the Bekele Molla Hotel at Langano has served as a training platform for numerous local youth. Many have gone to establish their own small businesses in nearby market towns. The ‘Seyo Preparatory School’ in the town of Modjo is being built by BMH. This 16-block school for students destined to the universities will be readied for the next academic year. Delivering valuable services at affordable prices, to the Ethiopian public, have and will always remain BMH’s main objective. Because BMH considers these activities (commercial and community support) as part and parcel of its mission, it doesn’t feel they should be singled out for public mentioning. To the dismay of many, self-aggrandizement and attention seeking are not BMH’s internalized values.

BMH has gone through very trying times in the past fifteen years. This particular experience, without a doubt, will leave its indelible mark. Nonetheless, BMH promises to pursue its objectives without the crippling bitterness CBE tried to inflict on its collective well being, financial and otherwise with its ever-incessant wrong moves.

Bekele Molla Hotels, Pvt. Ltd. Co. has been in operation for over sixty years. Currently, it owns and operates seventeen premises throughout the southern part of Ethiopia. The ‘Langano Hotel,’ which has been the recreational place for all, has been giving hotel and camping services for over half a century.
